b) Organizational Accounts

Dual Agreement: These Terms constitute an agreement between HomeDesignsAI and both (i) the individual user and (ii) the Organization.
Responsibilities: The Organization must ensure that all of its users (“Org Users”) comply with these Terms, and it will be held responsible for any acts or omissions by its Org Users that violate these Terms.
Authority: By accepting these Terms, the individual user represents and warrants that they have the authority to bind the Organization to these Terms. If such authority is absent, the user may not access or use the Service on behalf of the Organization.
Account Administration: The Organization may control access to, modify, or terminate any associated User Accounts.
Information Disclosure: We may disclose account information and usage data to the Organization as necessary.

c) Connecting via Third-Party Services

If you connect to the Service through third-party services, such as social media or other platforms, you authorize us to access and use the information you provide through those services, as permitted by their terms. We may store login credentials or access tokens necessary to facilitate these connections.

d) Account Security

You are solely responsible for maintaining the security of your User Account. This includes:

Keeping your account information accurate and up to date.

You agree to notify us immediately of any breach of security or unauthorized use of your User Account. We disclaim liability for any losses or damages arising from unauthorized account access, including actions performed by Org Users with administrator-level access.

e) Account Settings and Communications

You may configure your User Account and preferences through the account settings page. By providing your email address, you consent to receive Service-related communications, including:

Notices required by Applicable Law.
Marketing emails with updates, offers, and promotions.

You may opt out of marketing communications by contacting support or using the “unsubscribe” option provided in the emails. Opting out of marketing emails will not affect your ability to receive essential Service-related notifications.

2.3. Changes, Suspension, and Termination

Changes to the Service: We may modify or discontinue the Service or specific features at any time without liability or prior notice.
Termination: We may suspend or terminate your access to the Service, with or without cause, for any reason, including violation of these Terms. You may also deactivate your account at any time.

3. Access to the Service; Service Restrictions

3.1. Access to the Service

Subject to your compliance with these Terms and any applicable guidelines, documentation, or instructions provided by HomeDesignsAI, we grant you a non-exclusive, non-transferable, limited, and revocable license to access and use the Service. This license is provided solely for your personal use or internal business purposes, as permitted by the features of the Service and your applicable subscription level.

This license is conditional upon:

Your use of the Service in accordance with its intended purpose and functionality.

HomeDesignsAI reserves the right to modify, suspend, or terminate your access to the Service at any time, for any reason or no reason, without prior notice or liability. All rights not expressly granted to you herein are reserved by HomeDesignsAI.

Certain features of the Service may only be accessible during a valid Subscription Term. Continued access to these features is contingent upon your compliance with applicable subscription terms and timely payment of any associated fees.

3.2. Restrictions and Acceptable Use

To maintain the integrity and security of the Service, and to ensure compliance with applicable laws, you agree that you will not, and will not assist, permit, or enable any third party to:

3.2.1 Prohibited Technical Activities

Disassemble, reverse engineer, decode, decompile, or otherwise attempt to derive the source code or underlying structure of any part of the Service.
Use automated means, such as robots, spiders, scrapers, offline readers, data mining tools, or any other automated systems, to access or interact with the Service beyond what is reasonably possible using standard web browsers.
Interfere with, disrupt, or compromise the security, functionality, or integrity of the Service or its supporting infrastructure, including attempts to decipher transmissions to or from our servers.
Introduce malicious software, including viruses, worms, or Trojan horses, into the Service.

3.2.2 Prohibited Usage of Content and Intellectual Property

3.2.3 Prohibited Behavioral Activities

Access the Service in a way that imposes an unreasonable or disproportionately large load on our infrastructure, as determined solely by HomeDesignsAI.
Use the Service for fraudulent, defamatory, harmful, or objectionable purposes, including transmitting spam, chain letters, or other unsolicited communications.
Impersonate another individual or entity, or misrepresent your affiliation with any person or organization.
Collect or harvest personal data from the Service without express consent from the relevant individuals.
Bypass or circumvent any technical measures employed to restrict access to or usage of the Service.

3.3. API Usage

If your Subscription includes access to HomeDesignsAI’s application programming interfaces (APIs), you are granted a non-exclusive, non-transferable, non-sublicensable license to use the APIs strictly for purposes of integrating HomeDesignsAI Services into your products and services.

3.3.1 Conditions for API Access

Access to APIs may require pre-approval from HomeDesignsAI. You may be required to provide information about your Organization and the intended use of the APIs as part of the approval process.
The APIs and any resulting integrations (“Integrations”) must comply with these Terms, Applicable Laws, and any additional guidelines or documentation provided by HomeDesignsAI.

3.3.2 Restrictions on API Usage

You may not sell, rent, sublicense, or transfer access to the APIs without explicit prior written consent from HomeDesignsAI.
Integrations may not compromise the functionality, performance, or security of the Service or its infrastructure.
HomeDesignsAI reserves the right to monitor, audit, or terminate API access if an Integration is found to violate these Terms or the intended purpose of the Service.

3.4. Service Modifications and Limitations

HomeDesignsAI reserves the right, at its sole discretion, to modify, suspend, or discontinue any aspect of the Service, including specific features or access to APIs, without prior notice or liability. Such actions may be taken to address technical issues, comply with legal requirements, or for any other reason deemed necessary by HomeDesignsAI.

You acknowledge that HomeDesignsAI is under no obligation to maintain or provide ongoing access to the Service or any specific features thereof.

4. User Grants, Covenants, Representations, and Warranties

4.1. Ownership of User Content

As between HomeDesignsAI and you, all information, data, and other content, in any form or medium, that is collected, uploaded, submitted, or otherwise made available by you (or on your behalf) through the Service, including content input by your customers via any applicable APIs, shall remain your sole property or the property of your licensors (collectively, “User Content”). For organizational accounts, we reserve the right, in our sole discretion, to consider all User Content as property of the Organization associated with the account.

4.2. Permissions and Licensing for User Content

Certain features of the Service may enable you to allow other Users to view, edit, share, or otherwise interact with your User Content and any output generated by the Service using your User Content (“Output”). By submitting, sharing, or otherwise making your User Content or Output available through the Service, you:

Acknowledge that other Users may interact with, access, and use your User Content and Output as permitted by your account settings and these Terms.
Grant each authorized User a non-exclusive license to access and interact with your User Content and Output solely through the Service, subject to the restrictions set forth in these Terms.
Agree to designate sensitive or proprietary information as confidential before sharing it with others.

In addition, you grant HomeDesignsAI a worldwide, irrevocable, perpetual, sublicensable (through multiple tiers), fully paid, royalty-free license under all applicable intellectual property rights to use, copy, store, modify, reproduce, distribute, create derivative works of, publish, and display your User Content and Output for the following purposes:

Provision of the Service: To operate, maintain, and improve the Service.
Business Development: For research, analysis, and development of new products, services, and features.
Operational Necessities: To fulfill legal, administrative, and technical requirements associated with providing the Service.

This license extends to the use of your User Content and Output for purposes outlined in our Privacy Policy, or as otherwise authorized by you through your use of the Service.

4.3. Representations and Warranties

You affirm, represent, and warrant that:

You own all rights, titles, and interests in and to your User Content, or you have obtained all necessary licenses, permissions, and consents to grant the licenses set forth in these Terms.
Your User Content and Output, and our use of such content as authorized under these Terms, do not and will not infringe upon or violate any third-party rights, including but not limited to intellectual property rights, privacy rights, and confidentiality obligations.

4.3.2 Compliance with Laws

You have obtained all necessary consents as required by Applicable Law to provide User Content, particularly when it includes personal or third-party information.
Your User Content does not violate any Applicable Laws, regulations, or orders issued by governmental authorities.

4.3.3 Accuracy and Integrity

Your User Content and all related information provided to HomeDesignsAI are truthful, accurate, and complete to the best of your knowledge.

4.3.4 Prohibited Content

You will not upload, submit, or make available any User Content that includes:

Nudity, sexually explicit content, or content deemed inappropriate for public distribution.
Hate speech, threats, harassment, or content promoting violence or discrimination.
Malicious code, spam, or any content designed to disrupt or harm the Service or its Users.
Personal information of individuals under 13 years of age or below the applicable age of digital consent in your jurisdiction.
Information deemed sensitive or classified by any governmental authority.

4.4. Responsibility for User Content

HomeDesignsAI does not claim ownership over your User Content. However, you acknowledge and agree that:

You are solely responsible for your User Content, including its submission, display, publication, or sharing through the Service.
HomeDesignsAI acts solely as a passive conduit for the storage, distribution, and publication of your User Content.
HomeDesignsAI assumes no responsibility for monitoring or moderating User Content but reserves the right, in its sole discretion, to remove or restrict access to User Content that violates these Terms or is otherwise objectionable.

By uploading or sharing User Content, you agree to indemnify and hold HomeDesignsAI harmless from any claims, damages, or liabilities arising from the use, distribution, or publication of your User Content.

4.5. Disclaimer

You acknowledge that other Users may have access to your User Content or Output through the Service. HomeDesignsAI is not responsible for the actions of other Users or any unauthorized use, copying, or distribution of your User Content. You are advised to carefully consider the risks of sharing sensitive or proprietary information through the Service.

5. Intellectual Property

5.1. Definition of Intellectual Property Rights

For purposes of these Terms, “Intellectual Property Rights” refers to all legal rights related to patents, copyrights, trademarks, trade dress, service marks, goodwill, trade secrets, moral rights, mask work rights, rights of personality, and any other proprietary or intellectual property rights recognized under Applicable Law, whether existing now or in the future, including all applications, registrations, renewals, and extensions thereof.

5.2. Ownership of Intellectual Property

HomeDesignsAI, including its licensors and contributors, retains all rights, titles, and interests in and to:

1.The Service itself, including all associated software, algorithms, source code, object code, APIs, and technologies.

2.All materials made available through the Service, including but not limited to text, graphics, images, videos, logos, illustrations, audio files, music, and other proprietary content (collectively, “Service Content”).

3.Any templates, frameworks, or pre-existing materials incorporated into designs or outputs generated by the Service.

Except as explicitly granted in these Terms, no license, right, or interest in any Intellectual Property Rights is transferred or created for you by your use of the Service. You agree that you will not:

Access, modify, copy, distribute, perform, publish, or create derivative works of any part of the Service Content without express written permission.
Use the Service Content for any purpose not explicitly authorized by these Terms.

5.3. Output Ownership and Usage

Subject to these Terms, you retain ownership of any Intellectual Property Rights in the outputs you generate using the Service (“Output”), except to the extent that such Output incorporates templates or pre-existing materials owned by HomeDesignsAI. However, you acknowledge and agree that:

1.Your ownership of the Output does not grant ownership of or rights to any underlying Intellectual Property Rights of the Service.

2.HomeDesignsAI may, at its sole discretion and upon notice, restrict or require cessation of use of the Output if it determines that such use may infringe upon the rights of third parties or violate any laws or regulations.

3.You are prohibited from misrepresenting that any Output generated by the Service was created without AI involvement or from using the Output to train or enhance competing machine learning models.

Disclaimer Regarding Output: Due to the inherent nature of machine learning technology, similar or identical outputs may be generated for other users. The Service may also produce outputs that are inaccurate, incomplete, or otherwise unsuitable for your intended purpose. You are solely responsible for evaluating the suitability, legality, and accuracy of the Output for your specific use case, and you agree that HomeDesignsAI is not liable for any damages arising from your use of the Output.

5.4. Usage Data

HomeDesignsAI may collect and process technical, diagnostic, and usage-related information (“Usage Data”) during your use of the Service. Usage Data includes information about your devices, systems, and interactions with the Service.

You agree that:

1.All Usage Data is the exclusive property of HomeDesignsAI.

2.To the extent any ownership rights in Usage Data are vested in you, you assign to HomeDesignsAI all rights, titles, and interests in and to such Usage Data.

5.5. Feedback

If you provide HomeDesignsAI with any suggestions, ideas, recommendations, or other feedback regarding the Service or related products (“Feedback”), you agree that:

1.All rights, titles, and interests in and to the Feedback, including any associated Intellectual Property Rights, are assigned to HomeDesignsAI.

2.HomeDesignsAI may use the Feedback for any purpose, including improving or developing products and services, without providing compensation or attribution to you.

Feedback provided by you is deemed confidential information of HomeDesignsAI and will not limit HomeDesignsAI’s rights to use similar ideas independently developed or obtained from other sources.

5.6. Disclaimer of Ownership of Service Content

Except for your User Content and Output, you acknowledge that you do not acquire any ownership rights in or to the Service or any Service Content. Unauthorized use of the Service Content or violation of these Terms may result in termination of your access to the Service and potential legal action.

6. Confidential Information

6.1. Definition of Confidential Information

The Service may involve access to non-public, proprietary, or otherwise confidential information of HomeDesignsAI and/or other Users (“Confidential Information”). Confidential Information includes, but is not limited to:

Non-public business strategies, marketing plans, technical data, product designs, software code, financial information, trade secrets, algorithms, methodologies, and customer data.
Any other information that, given its nature or the circumstances of its disclosure, a reasonable person would understand to be confidential.

Confidential Information does not include information that:

1.Is or becomes publicly available without breach of these Terms by you.

2.Was known to you prior to your access to the Service, as evidenced by your written records.

3.Is independently developed by you without reference to or reliance upon the Confidential Information.

4.Is lawfully disclosed to you by a third party without restriction.

6.2. Obligations Regarding Confidential Information

You agree to treat all Confidential Information disclosed to you in connection with your use of the Service with the utmost care and to protect its confidentiality. Specifically, you shall:

Safeguard Confidential Information: Use at least the same degree of care to protect the confidentiality of the Confidential Information as you use to protect your own sensitive confidential information, but in no event less than a reasonable degree of care.
Use Restrictions: Use Confidential Information solely to exercise your rights or perform your obligations under these Terms and for no other purpose.

You cooperate, at HomeDesignsAI’s expense, with any reasonable efforts to limit the scope of such disclosure or obtain confidential treatment of the disclosed information.

6.4. Return or Destruction of Confidential Information

Upon the termination of your access to the Service or upon HomeDesignsAI’s request, you shall:

1.Immediately cease using all Confidential Information.

2.Return or securely destroy all copies of Confidential Information in your possession or control, including information stored on any electronic medium or device.

3.Certify in writing to HomeDesignsAI that you have complied with the obligations of this section.

6.5. Acknowledgment of Proprietary Rights

You acknowledge that the Confidential Information is and will remain the sole property of HomeDesignsAI or the respective User that provided it, as applicable. No license or other rights, express or implied, are granted to you under any intellectual property or proprietary rights of HomeDesignsAI or its Users by the disclosure of Confidential Information.

6.6. Remedies for Breach

You acknowledge that unauthorized use or disclosure of Confidential Information may result in irreparable harm to HomeDesignsAI or its Users, for which monetary damages would be inadequate. Accordingly, in the event of a breach or threatened breach of this section, HomeDesignsAI and its Users shall be entitled to seek equitable relief, including injunctive relief and specific performance, without the necessity of posting a bond or proving actual damages, in addition to any other remedies available at law or in equity.

6.7. Survival of Obligations

Your obligations under this section with respect to Confidential Information will survive the termination of your access to the Service and remain in effect for as long as the Confidential Information retains its confidential nature, unless a shorter period is specified by law.

6.8. User Confidential Information

To the extent that you disclose Confidential Information to other Users via the Service, you agree to:

Clearly designate such information as confidential when shared.
Hold other Users harmless for any unauthorized disclosure of your Confidential Information unless such disclosure constitutes a willful violation of these Terms.

7. Our Publicity Rights

By using the Service, you acknowledge and agree that HomeDesignsAI may identify you as a user of the Service in its promotional and marketing materials. This identification may include, but is not limited to, the use of your name, logo, and brand assets, solely for the purpose of referencing your use of the Service.

You may revoke this permission at any time by providing written notice to HomeDesignsAI at help@homedesigns.ai. HomeDesignsAI will make reasonable efforts to remove any references to you from future marketing materials but cannot guarantee the removal of previously distributed materials.

8. Payments, Billing, and Subscription Plans

8.1. Billing Policies and Taxes

Certain aspects of the Service may be offered for free, while others require payment of fees (“Fees”). By enrolling in paid features or Subscription plans (“Subscription”), you agree to the pricing and payment terms made available at https://homedesigns.ai/#buy, which are incorporated by reference into these Terms.

You acknowledge and agree that:

HomeDesignsAI reserves the right to update Fees, introduce new Fees, or discontinue Subscriptions at its sole discretion. Changes to Fees will become effective in the billing cycle following notice of such changes.
Unless otherwise stated in these Terms or the Pricing and Payment Terms, all Fees are due in advance, non-cancelable, and non-refundable.
Fees are exclusive of taxes, levies, or duties imposed by any governmental authority, excluding taxes based on HomeDesignsAI’s net income (“Taxes”). You are responsible for paying all applicable Taxes associated with your purchases and/or Subscriptions.

8.2. Limited Refund Right

You may request a cancellation of your Subscription and receive a refund of Subscription Fees within thirty (30) calendar days from the Subscription start date (“Refund Period”), subject to the following conditions:

1.You have not submitted thirty (30) or more User Content requests during the Refund Period.

2.You have not previously exercised this Limited Refund right during the same Refund Period.

To request a refund, contact us via help@homedesigns.ai. If you do not request a refund within the Refund Period, this right is forfeited. This Limited Refund is your sole remedy for deficiencies during the Refund Period. After the Refund Period, all Fees are non-refundable.

8.3. Definitions

“Subscription”: Access to specific features of the Service offered on an automatically renewing basis.
“Subscription Fee”: The recurring fee for a Subscription.
“Merchant of Record”: A third-party payment processor authorized to process transactions and collect payment on behalf of HomeDesignsAI.

8.4. Your Payment Method

a) General Payment Terms

To access paid features, you must provide a valid payment method (“Payment Method”). By doing so, you authorize HomeDesignsAI and its Merchant of Record to charge your Payment Method for all applicable Fees, Taxes, and any other charges. Fees will be charged according to your Subscription plan and billing cycle.

b) Third-Party Payment Processing

Payments are processed by our Merchant of Record, and you agree to its terms and conditions, which may include authorization holds or validation steps. HomeDesignsAI does not store full credit card or Payment Method details.

c) Payment Representations and Warranties

Payment information provided is accurate and authorized.
Charges incurred under your Payment Method will be honored.
You will promptly update any changes to Payment Methods or account information.

8.5. Subscription Plans

a) Automatic Renewals

Subscriptions renew automatically at the end of each term unless canceled. Subscription Fees and applicable Taxes will be charged on the renewal date. You may cancel your Subscription before the next term to avoid charges.

b) Cancellation Procedures

To cancel, use the Service’s account settings or contact [Insert Support Email]. Cancellation will apply to the next billing cycle, and you will retain access through the current term.

c) Refunds Upon Cancellation

Refunds for canceled Subscriptions are not provided after the Refund Period, except where required by Applicable Law.

d) Free Trials
